1. Parties & Operating Entity

These Terms of Service (“Agreement” or “Terms”) govern all pilot projects, production orders, and ongoing white-label production services arranged through kzvmedia.com (“Website”).

2. Commercial B2B Scope

KZV Media provides specialized, business-to-business (B2B) digital video production services for professional real-estate photographers, media companies, and marketing agencies (“Client” or “Partner”). By submitting property photography or ordering a reel, you confirm that you act strictly in a commercial, professional capacity and not as an individual consumer.

3. Quotations, Orders & Commercial Terms

Specific commercial terms, including scope, revisions, delivery timing, fees and payment schedule, are confirmed in the applicable quotation, pilot agreement or order confirmation.

Unless otherwise agreed in writing, invoices are issued by KAIZEN EVO SRL in EUR or USD. Rates are quoted exclusive of applicable taxes. For business clients in the European Union outside Romania with a validated VAT ID, the EU reverse-charge mechanism applies.

4. Client Asset Rights & Warranties

• Photographic Rights: The Client represents and warrants that it holds all necessary copyright, licenses, and authorizations to provide the source photographs, floorplans, and listing details to KZV Media for video production.
• Third-Party Claims: The Client is responsible for claims arising from materials it supplies where the Client did not have the necessary rights or permissions.
• Factual Accuracy: The Client remains solely responsible for the factual accuracy of listing figures, property features, and claims provided for display in video typography.

5. White-Label License & Deliverables

Upon receipt of agreed payment in full for a completed deliverable:

• KAIZEN EVO SRL grants the Client a perpetual, worldwide, royalty-free license to distribute, broadcast, publish, display, and resell the finished video deliverable under the Client’s own commercial branding.
• Deliverables are supplied 100% white-label without KZV Media watermarks, branding elements, or visible platform logos.
• The Client may package and resell completed deliverables directly to real estate agents, brokerages, and property developers at its own discretion and pricing.

6. Production Methods & Intellectual Property Reservation

KZV Media retains ownership of its underlying production methods, templates, software, workflows and tools. The Client receives rights only in the agreed final deliverables.

KZV Media may use AI-assisted tools as part of its internal production workflow. All final deliverables are subject to human review and property-fidelity checks.

KZV Media does not use AI-assisted visual editing to invent or materially alter property features in a way that could misrepresent the real property.

This Agreement constitutes a professional service contract for digital video deliverables only. No underlying software licenses, production tools, or code are sold, licensed, or transferred.

7. Quality Review & Revisions

Every reel undergoes pre-delivery review to verify architectural framing, editorial pacing, and typographical containment. Structured revisions within the agreed order scope are addressed promptly according to the parameters specified in the quotation or order confirmation.

8. Confidentiality & Client Protection

KAIZEN EVO SRL treats all unreleased listing photography, property details, and client relationship information with strict commercial confidentiality. We do not contact the Client’s photographer clients, brokerages, or property owners directly.

9. Showcase & Portfolio Policy

• Portfolio examples displayed on kzvmedia.com are concept demonstrations created from commercially licensed architectural photography to illustrate storytelling and motion signatures.
• We do not display, publish, or promote actual client listing reels on our public website or marketing materials without the Client’s explicit prior written consent.

10. Limitation of Liability

To the maximum extent permitted by applicable law, KAIZEN EVO SRL shall not be liable for indirect, incidental, special, or consequential damages, including lost profits or listing delays.

The aggregate liability of KAIZEN EVO SRL arising out of or related to this Agreement or any production deliverable shall under no circumstances exceed the total fees actually paid by the Client for the specific order giving rise to the claim.

11. Governing Law & Dispute Jurisdiction

These Terms are governed by Romanian law. Where a dispute cannot be resolved amicably, it may be submitted to the competent courts in Bucharest, Romania, subject to applicable mandatory law.
